Terms of Service

Seller: Red Tree, Inc., a California corporation, doing business as What9s

Site: https://what9s.com

Effective date: October 19, 2026

Last updated: October 19, 2026

These Terms of Service ("Terms") are a contract between you and Red Tree, Inc. ("Red Tree," "we," "us," or "our") for use of the What9s website and services. By buying a Site Check, buying or renewing Site Watch, or otherwise using What9s, you agree to these Terms and to our Privacy Policy. If you do not agree, do not buy or use the services.

1. Who we are

What9s is a brand of Red Tree, Inc., a California corporation. Our notice address is:

Red Tree, Inc.
2261 Market Street STE 86244
San Francisco, CA 94114

Payments are processed by Stripe on our behalf. We sell digital website review services, not legal, security, accessibility, or other professional advice.

Support: [email protected]

2. The services

2.1 Site Check (one-time)

Site Check is a one-time paid report on a public website URL you provide. Price: $199, charged at checkout. We aim to deliver the report within 48 hours after we receive a complete order and any access you promised. Delivery time is a target, not a guarantee.

2.2 Site Watch (optional annual plan)

Site Watch is an optional annual monitoring plan. Price: $299 per year, charged at checkout for the first year, then automatically renewed each year at the then-current price until you cancel. Billed yearly.

Unless your order confirmation says otherwise, Site Watch includes:

If the order page or confirmation conflicts with these Terms on scope, the more specific order description controls for scope, and these Terms control for legal terms.

2.3 What we do not promise

Reports are recommendations and observations based on what we can see. They are not a warranty of fitness, security, compliance, conversion, ranking, uptime, accessibility, or legal compliance. Results are not guaranteed. You decide whether and how to act on any recommendation. You review your report before anything identifying you is published (see Section 8).

3. Eligibility and authority

You must be at least 18 and able to form a binding contract. If you buy for a company, you represent that you have authority to bind that company, and "you" includes that company. We sell mainly to businesses. We still follow California automatic renewal requirements for all Site Watch buyers.

4. Your website and permission to scan

By ordering Site Check or Site Watch, you:

  1. Represent that you own the site or have authority to allow us to review it.
  2. Grant Red Tree and its contractors a limited, non-exclusive, worldwide license to access, crawl, load, screenshot, and analyze the publicly available pages and assets of the URL(s) you submit, solely to perform the ordered service and improve our methods in anonymized or aggregated form.
  3. Agree not to submit a site you are not allowed to have tested, and not to ask us to bypass paywalls, logins, CAPTCHAs, rate limits, or security controls unless you separately give us lawful credentials and written permission. Our standard service covers public pages only.
  4. Are responsible for backing up your site and for any effect that ordinary public crawling or page loads may have on analytics, caching, or third-party scripts.

We may refuse or stop work if access is blocked, the URL is wrong, the site appears unlawful, or continuing would create legal or security risk.

5. Orders, payment, and taxes

Prices are in U.S. dollars and are due at checkout unless we say otherwise. You authorize Stripe (and us) to charge the payment method you provide for the amount shown at checkout, including any automatic renewal under Section 6. You are responsible for applicable taxes if not collected at checkout. Chargebacks filed in bad faith after you received the report may result in suspension of further service.

6. Site Watch automatic renewal (California Automatic Renewal Law)

This section applies to Site Watch and any other What9s offer that renews automatically. We follow California Business and Professions Code sections 17600 to 17606 (as amended, including requirements effective July 1, 2025) for all Site Watch buyers, including business customers.

6.1 Automatic renewal terms (clear disclosure)

If you buy Site Watch:

We will present these automatic renewal offer terms clearly and conspicuously before you complete purchase, in visual proximity to the consent request.

6.2 Affirmative consent

We will not charge your card for an automatic renewal without your express affirmative consent to the automatic renewal offer terms (for example, an unchecked checkbox you must select). We will keep verification of that consent for at least three years, or one year after the contract ends, whichever is longer.

6.3 Acknowledgment you can keep

After you buy Site Watch, we will send (or make available) an acknowledgment you can retain that restates the automatic renewal terms, the cancellation policy, and how to cancel.

6.4 How to cancel

You may cancel Site Watch at any time. Cancellation stops the next renewal. Refunds are governed by Section 7.

Online cancel (required if you enrolled online): You may cancel online at will through the cancellation path on what9s.com (account settings or a cancel link we provide). We will not use dark patterns, unnecessary steps, or delays that obstruct immediate cancellation.

Email: You may also email [email protected] from the address on your order with the subject "Cancel Site Watch." We will confirm cancellation.

Cancel using a method at least as easy as the method you used to enroll. Online cancel: what9s.com/cancel.

6.5 Notices before renewal and annual reminder

For a Site Watch term of one year or longer that auto-renews, we will send notice at least 15 days and not more than 45 days before renewal. The notice will state that the plan will renew unless you cancel, the renewal length, the amount (or range) and frequency of charges, how to cancel, and our contact information. If the notice is electronic, it will include a link or other reasonably accessible electronic path to cancel.

We will also send an annual reminder identifying Site Watch, the frequency and amount of charges, and how to cancel, using the same communication method you used to enroll or the method you generally use with us.

If we change the fee for an existing Site Watch plan you accepted, we will give notice at least 7 days and not more than 30 days before the change takes effect, with cancellation instructions.

6.6 Price changes

We may change the Site Watch price for future renewal terms. Changes take effect only after the notice described above. The price for an already-paid term does not change mid-term.

7. Refunds

7.1 Seven-day full refund

For Site Check, and for each Site Watch charge (initial purchase and each renewal charge), you may request a full refund within 7 days of that charge, no questions asked. Email [email protected] within that window. We refund the full amount of that charge to the original payment method.

7.2 Prorated refund after you cancel Site Watch

If you cancel Site Watch after the 7-day window for the current charge has passed, we will refund unused full calendar months remaining in the paid annual term.

How we calculate it: Annual price divided by 12, multiplied by the number of full calendar months left after the month in which we receive your cancellation. The month of cancellation is not refunded. Example: you pay $299 on January 10 for a term through January 9 of the next year; you cancel on June 20; unused full months are July through December of the paid term (6 months); refund is (299 / 12) × 6.

We process prorated refunds to the original payment method within a reasonable time after cancellation is confirmed. Completing a quarterly re-check or report during a month does not reduce the unused-month count.

7.3 Limits

Except as stated in this Section 7, or where California or other applicable law requires otherwise, fees are non-refundable. If we cancel an order before delivery for our convenience, we refund amounts paid for that undelivered work.

8. Reports: review before publication; IP and license

8.1 Your review before publication

You will receive your report and may review it before we publish, feature, or use any customer-identifiable excerpt of that report in marketing. We will not publish your company name, URL, or report content in a way that identifies you without your prior written approval, except as needed to deliver the service to you, to comply with law, or in anonymized or aggregated insights that do not identify you.

8.2 Our IP

What9s, our site, templates, tools, scoring methods, and the report format are owned by Red Tree or its licensors. Buying a report does not sell you our trademarks, software, or methods.

8.3 Your license to the report

When we deliver a Site Check or Site Watch report and you have paid, we grant you a non-exclusive, non-transferable, worldwide license to use that report for your internal business purposes, including sharing it with your employees, contractors, and advisors under confidentiality. You may not resell the report, republish it as a competing product, or remove notices. You own your pre-existing site content; we do not claim it.

8.4 Feedback

If you send ideas or feedback, you grant us a royalty-free license to use them without restriction. We have no duty to keep feedback confidential unless we agree in writing.

9. Acceptable use

You will not: misuse the site; attempt to break security; scrape What9s except as allowed by robots.txt and ordinary browsers; submit malware or unlawful content; reverse engineer our tools except to the extent the law forbids that restriction; or use the services to harm others or violate law.

10. Third-party tools and links

Stripe, Cloudflare, and other vendors we use are governed by their own terms. We are not responsible for third-party sites or tools we do not control.

11. Disclaimers

THE SERVICES AND REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE REPORT IS COMPLETE, ERROR-FREE, OR THAT FOLLOWING IT WILL IMPROVE TRAFFIC, SALES, SECURITY, OR COMPLIANCE.

Some jurisdictions do not allow certain disclaimers. In those places, disclaimers apply to the fullest extent allowed.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
  2. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $199.

These limits are a fundamental part of the bargain and apply even if a remedy fails its essential purpose. They do not limit liability that cannot be limited under California law (for example, certain liability for fraud or personal injury where the law forbids a waiver).

13. Indemnity

You will defend and indemnify Red Tree and its officers, directors, and contractors against claims arising from: (a) your site or content; (b) your lack of authority to allow a scan; (c) your misuse of a report; or (d) your breach of these Terms, except to the extent caused by our willful misconduct.

14. Privacy

Personal data is handled as described in our Privacy Policy at /privacy. That policy is part of your relationship with us; if it conflicts with these Terms on privacy practices, the Privacy Policy controls for that topic.

15. Changes to these Terms

We may update these Terms by posting a new version on what9s.com and updating the "Last updated" date. Material changes that affect Site Watch renewals will be noticed as required by California automatic renewal rules. Continued use after the effective date means you accept the updated Terms, except where the law requires a different consent.

16. Suspension and termination

We may suspend or end access if you breach these Terms, if payment fails, or if continuing would create legal or security risk. You may stop using the services at any time. Sections that by nature should survive (including IP, disclaimers, limits of liability, indemnity, and governing law) survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Small claims: Either of us may bring an individual action in small claims court in Contra Costa County, California, or in another county where venue is proper under small claims rules, for disputes within that court's jurisdiction.

Other disputes: Exclusive venue is the state courts located in Contra Costa County, California, and you consent to personal jurisdiction there. We do not require a jury waiver.

Nothing in this section limits rights that California consumers cannot waive under the Automatic Renewal Law or other mandatory consumer statutes.

18. Miscellaneous

These Terms are the entire agreement for the services, and they replace prior terms for those services. If a court finds a provision unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or reorganization. Notices to us go to [email protected] and to the postal address in Section 1. Notices to you go to the email on your order.
